This page contains the End User License Agreement (EULA) for Cody Assistant. By installing or using the software, users agree to the terms set out below. The Cody installer displays this agreement before installation begins, and proceeding with the installation constitutes acceptance. If you do not agree to these terms, do not install or use the software.
This EULA is a draft pending formal legal review. The text below is a working baseline and has not yet been reviewed or approved by a qualified legal adviser. It must not be used in a commercial sale or broad enterprise deployment until it has been formally reviewed. If you are evaluating Cody for organisational use, please consult your legal team before relying on this agreement.

1. Acceptance

By installing or using Cody Assistant (“the Software”), you agree to be bound by this agreement. If you do not agree, do not install or use the Software.

2. License Grant

You are granted a limited, non-exclusive, non-transferable, and revocable license to install and use the Software on machines within your organisation, according to the modality contracted (per user, per machine, or per department). The Software is licensed to you, not sold.
This license covers personal use and internal corporate use. It does not permit redistribution, resale, or use as a component of another commercial product without separate written authorisation from the author.

3. Restrictions

You may not:
  • (a) Decompile, disassemble, or reverse-engineer the Software except to the extent expressly permitted by applicable law;
  • (b) Redistribute, resell, rent, lease, or sublicense the Software without prior written authorisation;
  • (c) Remove or alter any copyright, trademark, or other proprietary notices contained in or on the Software.

4. Data and Privacy

The Software operates locally: tasks, meetings, preferences, and API keys are stored exclusively on the user’s machine. The Software does not transmit data to any server operated by the author or provider. If the user configures an artificial intelligence provider (Azure OpenAI or OpenAI), only the email subject and sender of emails are sent to that provider, under the terms of the respective third-party provider. The full body of any email is never transmitted. For full details of data handling practices, refer to the Privacy Policy.

5. Outlook Integration

The Software reads emails and calendar data through a locally installed classic Outlook client using COM automation. The user is responsible for ensuring they have the necessary internal organisational authorisations for such access before configuring this integration.

6. Intellectual Property

The Software, its source code, design, characters, and artwork are the property of the author and are protected by applicable intellectual property laws. Nothing in this agreement transfers any ownership rights in the Software to you.

7. Disclaimer of Warranty and Limitation of Liability

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AUTHOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, MISSED MEETINGS, OR UNREMINDED TASKS.
The Software is a productivity support tool. It does not replace the user’s professional judgment or responsibility. Reliance on Cody for critical scheduling or task management is at the user’s own risk.

8. Termination

This agreement terminates automatically if you breach any of its terms. Upon termination, you must uninstall the Software. Local data files stored in %APPDATA%\cody-desktop-assistant\ remain on your machine and are your property; they are not automatically deleted on uninstall.

9. Governing Law

This agreement is governed by the laws of the Republic of Peru, unless otherwise agreed in writing between the parties.
